Terms and Conditions of Use

Welcome to NamKart. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and NamKart Inc. ("NamKart," "we," "our," or "us"). They govern your access to and use of our website, mobile applications, and all related services (collectively, the "Platform").

Please read these Terms carefully before using the Platform. By accessing or using NamKart in any manner, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree, please discontinue use immediately.



1. Nature of the Platform — NamKart as Facilitator

NamKart operates exclusively as a multi-vendor online marketplace. We provide technology infrastructure that enables independent third-party vendors ("Vendors") to list, market, and sell their own products and services directly to consumers.

NamKart is NOT a seller, retailer, manufacturer, distributor, importer, or agent for the goods and services listed on this Platform. Except for a very limited number of NamKart-branded items (if any, as explicitly noted), NamKart does not own, hold, inspect, fulfil, or ship any product sold through the Platform.

NamKart expressly does NOT:

•      Manufacture, produce, inspect, or stock any Vendor products;

•      Guarantee, warrant, or make representations regarding the quality, safety, authenticity, fitness for purpose, or legality of any Vendor product or service;

•      Validate, verify, or authenticate Vendor identity, credentials, licences, or claims;

•      Control or manage packing, shipping, labelling, or delivery operations;

•      Assume liability for product defects, injuries, illness, property damage, or other harm arising from Vendor products;

•      Bear any refund, warranty, or guarantee obligations on behalf of Vendors;

•      Act as a party to any transaction between a User and a Vendor.

All purchases made through the Platform represent a direct contractual transaction solely between the User and the applicable Vendor. NamKart facilitates that connection but is not a party to any purchase contract.

ℹ️  Important: NamKart may, at its sole discretion, assist in facilitating dispute resolution between Users and Vendors as a neutral intermediary. However, NamKart assumes no liability in connection with such assistance and is under no obligation to intervene in any dispute.



2. Eligibility

•      You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use the Platform.

•      By registering or placing an order, you represent and warrant that you meet this eligibility requirement and that all information you provide is accurate, current, and complete.

•      If you are under the age of majority, a parent or legal guardian must review and accept these Terms on your behalf before you use the Platform.

•      NamKart reserves the right to refuse service to any person at any time, for any lawful reason.



3. Account Registration and Responsibilities

To access certain features of the Platform — including placing orders, saving addresses, or becoming a Vendor — you must create an account. By registering, you agree to:

•      Provide accurate, current, and complete information during registration and to update it as necessary;

•      Maintain the security and confidentiality of your login credentials;

•      Take full responsibility for all activities and orders placed under your account;

•      Notify NamKart immediately at info@namkart.com if you suspect any unauthorized access or security breach.

NamKart is not liable for any loss or damage arising from unauthorized use of your account resulting from your failure to safeguard your credentials.



4. Vendor Listings, Product Information & Descriptions

All product listings on NamKart — including but not limited to product titles, descriptions, images, ingredient lists, allergen information, nutritional content, certifications, country of origin, and usage instructions — are provided solely by the respective Vendor and published as-is.

NamKart does not independently verify, audit, fact-check, or take responsibility for the accuracy, completeness, or currency of any product listing content.

Users understand and agree that:

•      Each Vendor is solely responsible for the accuracy and legality of their product listings;

•      Ingredient lists, allergen warnings, and nutritional information are provided by Vendors and may not reflect the most recent product formulations;

•      Product images are for illustrative purposes only and may not precisely represent the actual item received;

•      NamKart makes no warranties about the fitness or suitability of any product for your specific needs;

•      Users with allergies, dietary restrictions, or medical conditions should independently verify all product information directly with the Vendor before purchasing.

ℹ️  NamKart strongly encourages all Users to read product descriptions thoroughly, check ingredient and allergen information carefully, and contact the Vendor directly with any product-specific questions before placing an order.



5. Orders and Payments

Orders placed through the Platform are subject to Vendor acceptance and product availability. Receipt of an order confirmation does not constitute a guarantee of fulfilment; orders may be cancelled by a Vendor at any time prior to shipment.

Pricing and Taxes

•      All prices are listed in Canadian Dollars (CAD) unless otherwise stated;

•      Applicable taxes (GST/HST/PST) and shipping fees are calculated and displayed at checkout;

•      Prices are set solely by Vendors and may change without notice;

•      NamKart is not responsible for pricing errors made by Vendors.

Payment Processing

•      Payments are processed through secure, PCI-compliant third-party payment processors;

•      NamKart does not store full payment card details on its servers;

•      NamKart reserves the right to cancel any order if fraud, pricing errors, or Vendor-related issues are identified;

•      In the event of a cancellation after payment, refunds will be issued to the original payment method within a reasonable timeframe.



6. Order Cancellation Policy

Users may cancel a placed order within 7 (seven) hours of the time the order was confirmed, provided the Vendor has not yet shipped or processed the order.

Cancellation process:

•      Submit your cancellation request through your NamKart account dashboard or by contacting the Vendor directly within the 7-hour window;

•      Cancellations requested after 7 hours from order placement may not be honoured, at the Vendor's sole discretion;

•      Once an order has been dispatched or shipped, it cannot be cancelled — please refer to the Return Policy in Section 7;

•      If a Vendor cancels your order for any reason (e.g., out of stock), a full refund will be issued.

ℹ️  Tip: If you need to cancel, act quickly. The 7-hour window runs from the moment your order confirmation is issued, not from when you first browsed the product.



7. Returns, Refunds & Vendor Policies

A. Vendor-Specific Policies Apply

Each Vendor on NamKart operates under their own returns, refunds, and exchange policies, which are disclosed on their respective product listing pages and/or Vendor storefronts. It is your responsibility to read and understand the applicable Vendor policy before purchasing.

Where a Vendor has explicitly stated a specific return or no-return policy in their product listing or store page, that policy governs. NamKart will respect and enforce such policies.

B. Default Return Window (Where No Vendor Policy Is Stated)

Where a Vendor has NOT explicitly stated that returns are not accepted, the following default policy applies:

•      Users may request a return within 7 (seven) calendar days from the date of delivery of the product;

•      The item must be unused, undamaged, and in its original packaging unless the return is due to a defect or error;

•      Return shipping costs are the responsibility of the User unless the return is due to a Vendor error or product defect;

•      Refunds will be processed by the Vendor upon receipt and inspection of the returned item;

•      Perishable goods, digital items, and certain hygiene-sensitive products may be exempt from returns even under this default policy.

C. Non-Returnable and Final-Sale Items

The following categories are generally non-returnable unless the item is defective or was incorrectly sent:

•      Perishable foods, fresh produce, and temperature-sensitive items;

•      Personal care items, cosmetics, and intimate goods once opened;

•      Digital downloads, licences, and virtual products;

•      Custom, made-to-order, or personalized items;

•      Products explicitly marked as "Final Sale" or "No Returns" by the Vendor.

D. Defective or Incorrect Items

If you receive a product that is defective, damaged, or materially different from what was described, you are entitled to a remedy from the Vendor. You must:

•      Document the issue with photos or video upon receipt;

•      Contact the Vendor via the NamKart messaging system within 48 hours of delivery;

•      Retain all original packaging until the dispute is resolved.

NamKart may facilitate this process but is not a party to the resolution and does not guarantee any specific outcome.

E. NamKart's Limited Role in Refunds

NamKart is not liable for denial of refunds, delayed refunds, or disputes arising between Users and Vendors. All refund claims are the responsibility of the individual Vendor. NamKart's support team may assist as an intermediary in limited circumstances.



8. Shipping and Delivery

All shipping, fulfilment, and delivery operations are managed exclusively by the respective Vendor. Estimated delivery times displayed during checkout are provided by Vendors for reference only and are not binding commitments.

NamKart is not responsible for:

•      Shipping delays caused by carriers, weather, customs, or other events outside Vendor or NamKart control;

•      Loss, theft, or damage to packages during transit;

•      Import duties, customs clearance fees, or cross-border compliance issues;

•      Delivery failures arising from incorrect or incomplete addresses provided by the User;

•      Carrier errors or misdeliveries.

Title and risk of loss for products pass from the Vendor to the User at the point of shipment. Once a Vendor dispatches an order, responsibility for delivery lies with the carrier. Users agree not to hold NamKart liable for any damages, losses, or delays arising from shipping or delivery.



9. User Conduct and Prohibited Activities

By using the Platform, you agree to behave in a lawful, respectful, and honest manner at all times. You must NOT:

•      Use the Platform for any unlawful, fraudulent, or deceptive purpose;

•      Post false, misleading, defamatory, or abusive content, reviews, or communications;

•      Attempt to damage NamKart's reputation, brand, or business relationships through false claims on any medium, including social media, without substantiated evidence and without first following NamKart's dispute resolution process;

•      Circumvent, manipulate, or abuse the Platform's review or rating systems;

•      Interfere with, disrupt, or attempt to gain unauthorized access to NamKart's systems, servers, or databases;

•      Use automated tools, bots, or scrapers without NamKart's prior written consent;

•      Resell or commercially exploit access to the Platform without authorization;

•      Harass, threaten, or intimidate NamKart employees, Vendors, or other Users.

Violations may result in immediate account suspension, permanent ban, removal of content, and/or legal action.



10. Reviews, Ratings & User-Generated Content

NamKart encourages honest, helpful feedback from its community. When submitting reviews or other content:

•      Reviews must be truthful, based on your genuine personal experience, and comply with NamKart's community standards;

•      You may not include abusive, discriminatory, hateful, or defamatory language targeting Vendors, NamKart, or any individual;

•      You may not post reviews for products or Vendors with whom you have a financial interest or personal conflict of interest without disclosure;

•      If you experienced a problem, we encourage you to contact the Vendor through the Platform to seek resolution before leaving a negative review;

•      Attributing fault to NamKart for issues that are the sole responsibility of a Vendor (e.g., product quality, late shipping) may result in review removal.

By submitting content, you grant NamKart a worldwide, royalty-free, perpetual, irrevocable, non-exclusive licence to use, reproduce, modify, distribute, and display that content across the Platform and related marketing channels. NamKart reserves the right to remove any content that violates these Terms or applicable law.



11. Vendor Responsibility and Independence

Vendors using the NamKart Platform are independent businesses. They are not employees, agents, contractors, or partners of NamKart. Each Vendor:

•      Is solely responsible for compliance with all applicable laws and regulations governing their products and services, including food safety, product labelling, consumer protection, and tax obligations;

•      Sets their own prices, policies, and terms of sale;

•      Manages their own inventory, fulfilment, and customer interactions;

•      Is solely accountable for all representations made in their product listings.

NamKart does not endorse any Vendor or any Vendor's products or services. The presence of a Vendor or product on the Platform does not constitute a recommendation or warranty by NamKart.



12. Platform Availability and Customer Support

NamKart makes commercially reasonable efforts to maintain Platform availability and uptime. However, we do not guarantee uninterrupted, error-free, or secure access to the Platform at all times. Scheduled maintenance, technical issues, or events beyond our control may result in temporary unavailability.

Customer Support

•      Support requests should be submitted via help tickets through the Platform or by emailing info@namkart.com;

•      Users are encouraged to consult the Help Centre and FAQ resources before contacting support;

•      Response times may range from 48 to 72 business hours during normal periods and may be longer during peak seasons (e.g., holidays, promotional events);

•      Users agree to communicate with support agents respectfully and constructively;

•      NamKart disclaims liability for any losses arising from delays in non-emergency support responses.

ℹ️  For order-specific issues (shipping, returns, refunds), always contact the Vendor directly first. NamKart support handles platform-level concerns and may escalate where appropriate.



13. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NAMKART EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

NamKart shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising from or related to:

•      Any Vendor's acts or omissions;

•      Product defects, inaccurate descriptions, unsafe items, or health-related incidents;

•      Shipping delays, losses, or delivery failures;

•      Refund or warranty disputes with Vendors;

•      Unauthorized access to your account;

•      Interruption, suspension, or termination of Platform access;

•      Loss of profits, business interruption, or loss of data.

NamKart's total aggregate liability to any User for any claim arising out of or related to these Terms or the Platform shall not exceed the amount paid by the User for the specific transaction giving rise to the claim. All product-related claims should be directed to the applicable Vendor.



14. Indemnification

You agree to fully indemnify, defend, and hold harmless NamKart Inc., its affiliates, directors, officers, employees, contractors, and agents from any and all claims, damages, losses, expenses, demands, costs, or liabilities (including reasonable legal fees) arising from or related to:

•      Your use of or access to the Platform;

•      Your violation of these Terms or any applicable law or regulation;

•      Your interactions with Vendors or other third parties;

•      Your misuse of any Platform feature or service;

•      Any content you submit, post, or transmit through the Platform;

•      Any actual or alleged infringement of third-party intellectual property or other rights by you.

This indemnity obligation survives the termination of your account or these Terms.



15. Intellectual Property

All content on NamKart — including trademarks, trade names, logos, software, graphics, user interface designs, text, and compiled data — is owned by or licensed to NamKart Inc. Unauthorized reproduction, redistribution, or commercial use of any NamKart-owned or licensed content is strictly prohibited.

Vendor product images and content remain the property of the respective Vendor. NamKart does not claim ownership of third-party content displayed on the Platform.

16. Privacy and Data Use

NamKart collects, uses, stores, and shares personal information in accordance with our Privacy Policy, which is incorporated by reference into these Terms. By using the Platform, you consent to such data practices.

NamKart does not sell your personal data to third parties. We may share limited information with Vendors solely for the purpose of fulfilling your order. All third-party service providers engaged by NamKart are bound by appropriate data protection agreements.



17. Dispute Resolution and Governing Law

In the event of a dispute arising from or related to these Terms or the Platform, the parties agree to the following resolution process:

•      Step 1 — Internal Resolution: Contact NamKart's support team at info@namkart.com. NamKart will make a good-faith effort to resolve the issue within 10 business days;

•      Step 2 — Mediation: If unresolved, either party may request non-binding mediation before a mutually agreed-upon mediator;

•      Step 3 — Legal Action: If mediation fails, either party may initiate proceedings before the Small Claims Court or the Superior Court of Justice in the Province of Ontario, as appropriate based on the nature and value of the claim.

CLASS ACTION WAIVER: You waive any right to participate in a class action, class arbitration, or representative proceeding against NamKart. All claims must be brought on an individual basis.

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.



18. Termination

NamKart may suspend or permanently terminate your access to the Platform at any time, without prior notice, for any violation of these Terms or applicable law, or at NamKart's sole business discretion. You may close your account at any time by submitting a written request to info@namkart.com.

Termination does not waive NamKart's right to pursue legal remedies or enforce any obligations under these Terms, including indemnification provisions, which survive termination.



19. Changes to These Terms

NamKart reserves the right to revise these Terms at any time. Amended Terms will be posted on this page with an updated effective date. Where changes are material, NamKart will endeavour to provide reasonable notice (e.g., via email or in-app notification). Continued use of the Platform following publication of revised Terms constitutes your acceptance of the amended Terms.

We recommend checking this page periodically to stay informed of any updates.



20. Miscellaneous

•      Entire Agreement: These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and NamKart with respect to the Platform.

•      Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

•      Waiver: NamKart's failure to enforce any right under these Terms does not constitute a waiver of that right.

•      No Agency: Nothing in these Terms creates any employment, agency, partnership, or joint venture relationship between NamKart and any User or Vendor.

•      Language: These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version prevails.

•      Force Majeure: NamKart is not liable for any failure to perform its obligations resulting from causes beyond its reasonable control, including natural disasters, labour disputes, internet outages, or government actions.
